1. Acceptance of Terms
By accessing or using the XulvoN website (xulvon.com) or engaging XulvoN for any services - including website development, mobile app development, AI solutions, eCommerce platforms, or custom software - you agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and users of XulvoN services, regardless of location.
2. Description of Services
XulvoN provides the following services to clients across India and internationally: • Website design and development (HTML, CSS, React, Next.js, WordPress) • Mobile application development (React Native, Flutter) • AI solutions including chatbot development, automation workflows, and AI integrations • eCommerce platform development and setup • Custom software development (SaaS tools, dashboards, internal systems) • Digital product templates and tools (Lexi, SowSell, Novenix, AI Prompt Library)
The specific scope of services for each project is defined in a separate Project Agreement, Statement of Work, or written communication agreed upon by both parties before commencement.
3. Project Agreements & Scope
Before commencing any paid project, XulvoN will provide a written project scope, timeline, and pricing that must be confirmed by the client via email or other written communication.
Changes to the agreed scope - including additional features, pages, or functionality not in the original agreement - may result in revised timelines and additional costs. XulvoN will communicate any such changes in writing before proceeding.
XulvoN reserves the right to decline any project that conflicts with our values or applicable law.
4. Payment Terms
Payments are structured as follows (unless otherwise agreed in writing):
Standard Projects: A deposit of 50% of the total project value is required before work begins. The remaining 50% is due upon project completion, before final delivery or handover.
For larger projects, a milestone-based payment schedule may be agreed upon in writing.
Accepted Payment Methods: UPI, NEFT/RTGS bank transfer, PayPal (for international clients), and other methods as mutually agreed.
Currency: Prices are quoted in Indian Rupees (INR) for domestic clients. International clients may be quoted in USD with payment via PayPal or international bank transfer.
Late Payments: If payment is not received within 14 days of the due date, XulvoN reserves the right to pause work on the project until payment is received.
All payments are non-refundable except where explicitly stated or required by applicable law (see Refund Policy below).
5. Refund Policy
Deposits and milestone payments made for work already completed are non-refundable. If a client wishes to cancel a project:
• Before work has commenced: A full refund of the deposit will be issued within 7 business days. • After work has commenced: The client will be invoiced for work completed up to the date of cancellation. Any deposit already paid will be applied to this invoice, and remaining amounts refunded or invoiced accordingly. • For digital product purchases (templates, prompt libraries): Refunds are not available for digital downloads once access has been provided, except in cases of technical failure on our part.

6. Intellectual Property
Upon receipt of full payment, the client receives full ownership of all custom-built deliverables including website code, mobile app code, and design assets created specifically for their project.
The following remain the property of XulvoN unless explicitly transferred in writing: • Pre-existing XulvoN frameworks, libraries, tools, and methodologies used in development • XulvoN product templates (Lexi, SowSell, Novenix, AI Prompt Library) - clients receive a licence to use these, not ownership • XulvoN branding, trademarks, and marketing materials
Third-party assets (fonts, stock images, plugins, open-source libraries) are subject to their respective licences. XulvoN will inform clients of any third-party licences required for their project.
7. Client Responsibilities
To enable timely and successful project delivery, the client agrees to: • Provide all required content (text, images, branding assets) in a timely manner as requested • Provide clear feedback and approvals within agreed timeframes (typically 3–5 business days per review stage) • Ensure that any content, trademarks, or materials supplied to XulvoN do not infringe on third-party rights • Designate a primary point of contact for the project • Notify XulvoN promptly of any changes to project requirements
Delays caused by the client's failure to meet these responsibilities may result in revised delivery timelines and XulvoN bears no liability for such delays.
8. Confidentiality
Both XulvoN and the client agree to keep confidential any non-public information shared during the course of a project, including business strategies, proprietary processes, technical specifications, and financial information.
XulvoN will not disclose your project details, business information, or personal data to third parties without your consent, except as required by law or to fulfil the services (e.g. sharing with our hosting provider or development tools).
XulvoN may mention completed projects in our portfolio (case studies, website, or social media) with your prior written consent. You may request confidentiality of your project details at any time.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
XulvoN's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
XulvoN is not liable for: • Indirect, incidental, or consequential damages (including loss of revenue, profits, or data) • Losses arising from third-party services, plugins, or platforms used in your project • Downtime or data loss caused by hosting providers, domain registrars, or other third parties • Issues arising from client-supplied content or assets that infringe third-party rights • Force majeure events including natural disasters, internet outages, or government actions
XulvoN does not guarantee specific business results (e.g. search engine rankings, conversion rates, or revenue) from any website, app, or digital solution we build.
10. Warranty & Support
XulvoN warrants that all deliverables will be free from material defects at the time of delivery. If a defect is identified within 30 days of final delivery, XulvoN will correct it at no additional charge.
Post-warranty support, maintenance, updates, and hosting are available as a separate ongoing service agreement. Details and pricing are available on request.
XulvoN is not responsible for issues arising from: • Third-party platform changes (e.g. WordPress updates, hosting provider changes) • Client modifications to the delivered code or design after handover • Browser or device compatibility issues arising after the agreed testing period
11. Website Use
By using the XulvoN website, you agree not to: • Use the website for any unlawful purpose or in violation of these terms • Attempt to gain unauthorised access to any part of our website or systems • Upload or transmit malicious code, spam, or harmful content • Reproduce, distribute, or commercially exploit our website content without written permission • Misrepresent your identity or affiliation with XulvoN
XulvoN reserves the right to restrict access to the website for any user who violates these terms.
12. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of India, specifically the laws of the state of Tamil Nadu.
In the event of any dispute arising from or related to these terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India), with arbitration conducted in Chennai, Tamil Nadu.
For international clients, disputes may also be resolved through mutual agreement on applicable jurisdiction.
13. Modifications to Terms
XulvoN reserves the right to update these Terms of Service at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after modifications constitutes acceptance of the updated terms.
We recommend reviewing these terms periodically. For active project clients, material changes to terms will be communicated directly via email.
